On October 18, 2022, the SJRV board entered into a confidential Exclusive Negotiating Agreement with two for-profit entities, SISU Living LLC (a California LLC) and SDS Holdings LLC (a Texas Series B LLC), involving their funding of a $150,000 line of credit under terms and conditions which were not provided to the public. As a condition to this agreement, the current SJRV board was required to retire all but three members of the current board, consisting of Marilyn Mitchell, Jenee Rawlings and Jane Martin, and election to the board of two new members, Lynn Sison (signatory for SISU Living LLC) and Dan Smith (signatory for SDS Holdings LLC).
The proposed new plans for SJRV, presumably under the management of Lynn Sison and Dan Smith (as both lenders and as newly elected board members), involve the creation of a “dementia village”. No details have been provided regarding costs, funding sources, time line, financial projections, marketing, licensing, management, staffing, or the specific contractual obligations of SJRV to SISU Living and SDS Holdings. Another entity has been mentioned, Carewell, although no information has been provided concerning this company or its involvement with the management of SJRV. Given the fact that the two above mentioned for-profit companies are in the real estate investment business, it is difficult at this point to determine if their motivation in becoming involved with SJRV is truly altruistic or does it involve the eventual taking over of the campus property at a significant discount below its current market value, i.e. a real estate investment opportunity ? SISU Living LLC was formed in August 2021. A penalty for this entity is currently pending with the California Secretary of State for failure to file a Statement of Information.
Pursuing our litigation including application to the AG’s office for the appointment of Ute as the Relator, will require the significant involvement of Tom Barth as our attorney in this matter. Since the beginning of our efforts over one year ago, Tom as provided his time and efforts on a pro bono basis until we became involved in the formal proceedings which resulted in the court approval of our second amended complaint. The estimated fees and related expenses to get to the point where we have a more complete knowledge about the actions taken by the current SJRV board including the recent involvement of Lynn Sison and Dan Smith, will require additional funding of around $40,000. If after this phase has been completed and the decision is reached to proceed with the trial, additional funding in the amount of approximately $80,000 will be needed for preparation as well as legal representation in the actual trial.
Cesar Torres of Mycali Designs has been compensated on a very nominal basis for his help in our PR efforts to date. He has been involved in the ongoing development of our contact data base as well as preparing for a much more aggressive information campaign. Now that our second amended complaint has been accepted by the court, our public relations campaign will become much more active. The cost of utilizing the services of Mycali Designs for the next six months will be approximately $12,000 and could require additional funding if their estimated time commitment of 15 hours per month is exceeded. In addition, we need to budget $8,000 for other direct expenses relating to our PR campaign activities.
In summary of the above, we need to raise an additional $60,000 in donations for the next phase of our campaign. Although we are in process of applying non-profit status for SJRV, Inc., at the present time any such donations are not tax deductable.
